# Introduction to Corporate Law

## What is Corporate Law?

Corporate Law (also called Company Law) is the body of legal rules governing the formation, operation, and dissolution of companies in India.

## What constitutes "Law"?

Law is not a single document. It is the combination of:

> Law = Act + Rules + Notifications + Circulars + Amendments

ComponentPurpose
ActThe primary legislation passed by Parliament (e.g., Companies Act, 2013)
RulesDetailed procedures framed by the Central Government to implement the Act
NotificationsOfficial announcements bringing provisions into force, granting exemptions, etc.
CircularsClarifications issued by the regulator (MCA) on interpretation
AmendmentsSubsequent changes made to the Act/Rules over time

## Corporate Law for CA Inter

For CA Inter purposes, Corporate Law = Companies Act, 2013 along with the rules, notifications, circulars, and amendments framed under it.

## Key Takeaway

When studying any provision, remember that the bare Act alone is not enough — students must also be aware of the relevant Rules and any Notification/Circular issued by the MCA modifying that provision.

Worked example

### Example 1

Example: Section 149 of the Companies Act 2013 prescribes that every company shall have a Board of Directors. The Rules (Companies (Appointment and Qualification of Directors) Rules, 2014) prescribe the detailed manner. The MCA later issued a Notification clarifying applicability to certain class of companies. All three together constitute the 'law' on directors.

⚠️ Common exam mistakes

  • Treating only the bare Act as 'law' and ignoring Rules, Notifications, Circulars and Amendments.
  • Confusing 'Corporate Law' with general Contract/Commercial law — for CA Inter the syllabus is specifically the Companies Act, 2013.
  • Forgetting that subsequent Amendments override the original Act wording.
