### Definition

Key Managerial Personnel, in relation to a company, means:

1. The Chief Executive Officer (CEO) or the Managing Director (MD) or the Manager;

2. The Company Secretary (CS);

3. The Whole-Time Director (WTD);

4. The Chief Financial Officer (CFO);

5. Such other officer, not more than one level below the directors, who is in whole-time employment, designated as KMP by the Board; and

6. Such other officer as may be prescribed.

### Why is the Concept Important?

Q. Mr. X is the Head of Operations of ABC Ltd. He reports directly to the MD. The Board has passed a resolution designating Mr. X as KMP. Is Mr. X a KMP?

A. Yes. As he is one level below the directors, in whole-time employment, and designated by the Board, he qualifies as KMP under Section 2(51)(v).
