# Register of Charges — Two Registers, Two Custodians

## Section 81 — Register Kept by ROC

  • The ROC keeps a register containing particulars of registered charges of every company.
  • The register is maintained on the MCA portal.
  • It is open to inspection by any person on payment of prescribed fees.

## Section 85 — Register Kept by Company

### Form and Location

  • Every company shall keep a register in Form CHG-7 along with a copy of the instrument creating the charge.
  • It must be kept at the registered office of the company.

### Contents

The register includes particulars of:

  • All registered charges,
  • Acquired property subject to charge,
  • Modification of charge, and
  • Satisfaction of charge.

### Authentication

  • Entries shall be made forthwith after creation, modification, or satisfaction.
  • Entries must be authenticated by a director, CS, or any person authorised by the Board.

### Inspection

The register and the instrument of charge are open for inspection during business hours (subject to AOA restrictions):

Example — Inspection Rights

Mr. A is a shareholder of L Ltd. He wants to inspect the company's register of charges during business hours.

  • A, being a member, is entitled to free inspection of the register and the instrument of charge.
  • If Mr. B (an unrelated researcher) wishes to inspect, he must pay the prescribed fees.

Preservation:

  • L Ltd. must preserve Form CHG-7 (register) permanently.
  • If a charge is satisfied on 1st January 2026, the instrument creating that charge must be kept until 1st January 2034 (8 years).

⚠️ Common exam mistakes

  • Confusing the two registers — one is with the ROC (Section 81), the other with the company (Section 85).
  • Believing both registers have the same preservation rules — the company's register is permanent, but the instrument is preserved only 8 years from satisfaction.
  • Forgetting that members and creditors inspect without fees, while others pay.
  • Thinking entries can be delayed — they must be made forthwith after creation, modification, or satisfaction.
  • Misidentifying the form — register is in Form CHG-7 (not CHG-1 or CHG-4).

Section 81 — The Registrar shall, in respect of every company, keep a register containing particulars of the charges registered under this Chapter in such form and in such manner as may be prescribed. A register kept in pursuance of this section shall be open to inspection by any person on payment of such fees as may be prescribed. Section 85 — Every company shall keep at its registered office a register of charges in such form and in such manner as may be prescribed, which shall include therein all charges and floating charges affecting any property or assets of the company or any of its undertakings, indicating in each case such particulars as may be prescribed. A copy of the instrument creating the charge shall also be kept at the registered office of the company along with the register of charges. The register of charges and instrument of charges shall be open for inspection during business hours — (a) by any member or creditor of the company without fees; (b) by any other person on payment of such fees as may be prescribed.
