## Section 37 - Action by Affected Persons

Section 37 of the Companies Act, 2013 provides a remedy for those harmed by misleading prospectuses. It enables:

  • Any person
  • Group of persons, or
  • Any association of persons

who have been affected by:

  • A misleading statement in the prospectus, OR
  • The inclusion or omission of any matter in the prospectus

...to file a suit or initiate any other action under Section 34, 35 or 36 of the Act.

## Class Action Suit - Concept

A class action suit is a procedural device that allows a group of similarly affected persons to sue collectively.

Worked example

### Example 1

Example: A prospectus issued by XYZ Ltd. omitted information regarding pending litigation that materially affected the company's financials. 500 retail investors were misled. Instead of filing 500 separate suits, the investors form a class and one representative petitioner files a class action suit under Section 37 read with Sections 34/35/36, seeking damages.

⚠️ Common exam mistakes

  • Confusing Section 37 with criminal action only - Section 37 enables BOTH civil suits and other actions under Sections 34, 35, 36.
  • Assuming all class members must be physically present in court - in a class action, ONE petitioner represents the class.
  • Forgetting that class action suit benefits accrue only when harm is COMMON to the group.
