# Effect of Change of Name

## Key Principle

Change of name does NOT affect:

  • Any rights of the company.
  • Any obligations of the company.
  • Any legal proceedings commenced under the old name.

## Important Caveat — Initiating New Proceedings

Once the new name is registered by the Registrar:

  • Commencing legal proceedings in the former name is NOT competent.
  • New proceedings must be filed in the new name.

## Entity Continuity

  • The entity of the company continues in spite of the change.
  • The company is NOT dissolved.
  • No new company comes into existence by virtue of the change.

## Disclosure Obligation (Name Painted/Affixed)

Where a company has changed its name(s) during the last 2 years, it shall:

  • Paint, affix or print the former name(s) alongside its current name.
  • This applies wherever the name is displayed (per Section 12 requirements).

Worked example

### Example 1

Example 1: ABC Ltd. changed its name to PQR Ltd. on 1st May. A lawsuit was filed against ABC Ltd. on 1st February. Can the proceedings continue?

Answer: Yes. Change of name does not affect legal proceedings commenced under the old name. The lawsuit continues uninterrupted. However, fresh suits filed by PQR Ltd. after 1st May must be in its new name 'PQR Ltd.', not 'ABC Ltd.'

### Example 2

Example 2: XYZ Ltd. changed its name twice in the past 18 months — first to ABC Ltd., then to PQR Ltd. What disclosure is required?

Answer: Since both name changes occurred within the last 2 years, PQR Ltd. must paint/affix/print both former names ('XYZ Ltd.' and 'ABC Ltd.') alongside its current name 'PQR Ltd.' wherever its name is displayed.

⚠️ Common exam mistakes

  • Believing that a name change creates a new legal entity or dissolves the old one — the entity continues unchanged.
  • Filing fresh proceedings in the OLD name after registration of new name — not competent.
  • Omitting the obligation to display former names for 2 years post change.
