Is a Company a Citizen? Nationality and Residence

# Is a Company a Citizen?

## The Answer: No

A company is a legal person (though artificial), but it is NOT a citizen - neither under:

  • The Constitution of India, nor
  • The Citizenship Act, 1955.

## Why Not a Citizen?

Citizenship rights (like fundamental rights under Article 19) are reserved for natural persons. A company cannot claim those rights as a citizen.

## But - Does a Company Have Nationality, Domicile, Residence?

Yes. Although a company cannot be a citizen, judicial decisions have established that a company has:

  • Nationality (e.g., an Indian-incorporated company has Indian nationality)
  • Domicile (the country in which it is incorporated)
  • Residence (the place where central management is located)

## Why This Distinction Matters

ConceptAvailable to Company?
CitizenshipNo
NationalityYes
DomicileYes
ResidenceYes

Nationality/domicile/residence determine matters like tax jurisdiction, applicable corporate laws, and treaty benefits - which a company DOES need.

Worked example

### Example 1

Q: Can a company claim the fundamental right under Article 19(1)(a) (freedom of speech) as a citizen?

A: No. Since a company is not a citizen, it cannot directly claim Article 19 rights, which are available only to citizens. However, it can claim other constitutional rights (like Article 14 - equality) that apply to 'persons'.

⚠️ Common exam mistakes

  • Saying a company has NO nationality - it does. Only citizenship is denied.
  • Treating 'citizenship' and 'nationality' as the same concept - in company law, they are sharply distinguished.
