# Extra-Ordinary General Meeting (EGM) [Section 100]
## What is EGM?
All general meetings other than AGM are called Extra-Ordinary General Meetings. EGMs are convened when business cannot wait until the next AGM.
## Who Can Call EGM?
### (1) BOD on its Own Motion
EGM must be held at a place within India.
Exception: Wholly-owned subsidiary of a company incorporated outside India — EGM may be held outside India.
### (2) BOD on Requisition by Members
Board, within 21 days of receipt of valid requisition, shall proceed to call EGM to be held within 45 days of receipt of requisition.
Eligibility of requisitionists:
Type of Company
Requisition Threshold
Company with share capital
Members holding ≥ 1/10th of paid-up share capital carrying voting right (as on date of requisition)
Company without share capital
Members holding ≥ 1/10th voting power (as on date of requisition)
Requisition must:
Specify the matters for which meeting is sought.
Be signed by all requisitionists.
Be sent to the registered office of the company.
### (3) By Requisitionists Themselves (If BOD Fails)
If the Board does not proceed (within 21 days of requisition) to call EGM to be held within 45 days:
Requisitionists themselves may call the EGM (in same manner as the Board).
EGM by requisitionists must be held within 3 months [content continues beyond chunk].
Worked example
### Example 1
Example 1: Members holding 8% of paid-up share capital with voting rights send a requisition for EGM. Must the Board call it?
Answer: No. Threshold is at least 1/10th (10%) of paid-up capital with voting rights. The Board is not bound to act on a requisition by 8% holders.
### Example 2
Example 2: A valid requisition for EGM was received on 1st June. By when must the BOD proceed, and by when must EGM be held?
Answer: BOD must proceed within 21 days (by 22nd June) to call EGM. EGM must be held within 45 days of receipt of requisition (by 16th July).
### Example 3
Example 3: Wholly-owned subsidiary of a UK-incorporated company wants to hold EGM in London. Permitted?
Answer: Yes. Although EGM must generally be held in India, a wholly-owned subsidiary of a company incorporated outside India is permitted to hold EGM outside India.
⚠️ Common exam mistakes
Confusing the two periods — 21 days (BOD must proceed) and 45 days (actual EGM to be held).
Forgetting that 1/10th threshold is computed as on date of requisition (not later).
Thinking EGM can be held outside India by default — only the WoS-of-foreign-company exception allows this.
Treating any general meeting other than AGM as 'EGM' — correct, but specifically excluding statutorily required AGM.
Forgetting requisition must be signed by ALL requisitionists.

The Board may, whenever it deems fit, call an extraordinary general meeting of the company. The Board shall, at the requisition made by members holding not less than one-tenth of the paid-up share capital carrying voting rights, or one-tenth of total voting power as the case may be, call an extraordinary general meeting.
