# Inspection of Minutes Books of General Meeting [Section 119]

## Inspection Rights

  • Minutes book of general meeting is open for inspection by any member himself (and NOT by anyone on his behalf).
  • During business hours for at least 2 hours each day.
  • Without any fees.
  • Subject to such restrictions as are specified in AOA or imposed in general meeting.

## Copies of Minutes

  • Any member may request a copy of minutes.
  • Company must furnish it within 7 working days of the request.
  • Fees: as specified in AOA, but maximum ₹ 10 per page.

### Special Rule — Soft Copies

A member who requests a soft copy of minutes of general meetings held during the preceding 3 FYs must be furnished such soft copy free of cost.

## Punishment for Default

If inspection is refused or copies not furnished within time:

Additionally, the NCLT may direct immediate inspection of the minutes book or that the copy be sent immediately.

### Example 1

Example: Mr. X, a member of ABC Ltd., sends his chartered accountant to inspect the minutes book. The company refuses. Is the company in breach?

Answer: No, the company is not in breach. Section 119 specifically requires inspection by the member himself — not through an agent or representative. The company is right to refuse inspection by the CA.

### Example 2

Example: A member requests a soft copy of the minutes of AGMs for the last 2 FYs. Can the company charge ₹ 10 per page?

Answer: No. Soft copy of minutes of general meetings held during preceding 3 FYs must be furnished free of cost.

⚠️ Common exam mistakes

  • Allowing a member's agent or representative to inspect — only the member himself has this right.
  • Charging for soft copies of preceding 3 FYs' minutes — they are free.
  • Forgetting the 7-day window for furnishing physical copies is in working days, not calendar days.
