Inspection of Documents kept by Registrar

# Inspection of Documents kept by Registrar [Section 36]

Section 36 ensures public access to the basic LLP filings so that anyone dealing with an LLP can verify its constitution and financial status.

## Documents Available for Inspection

The following documents filed by an LLP with the ROC are available for inspection by any person:

1. Incorporation Document of the LLP

2. Names of partners and any changes therein

3. Statement of Account & Solvency

4. Annual Return

## Manner of Inspection

Inspection is allowed in the prescribed manner (i.e., as per the LLP Rules — typically online through the MCA portal, on payment of the prescribed fee).

## Practical Significance

  • Enables due diligence by creditors, investors, customers and counterparties.
  • Reinforces the transparency principle that distinguishes an LLP from a traditional partnership firm.

Worked example

### Example 1

Q: Mr. A wants to enter into a large supply contract with XYZ LLP. He wishes to verify the names of current partners and the financial position of the LLP. Can he do so?

A: Yes. Under Section 36, any person may inspect the Incorporation Document, names of partners and changes therein, the Statement of Account & Solvency, and the Annual Return filed by the LLP with the ROC, in the prescribed manner and on payment of prescribed fee.

⚠️ Common exam mistakes

  • Restricting inspection rights only to partners/creditors — Section 36 allows 'any person' to inspect.
  • Including the LLP Agreement in the list of inspectable documents — only the four listed documents are open to public inspection.
