# Registered Office of LLP (Section 13)

## Core Requirements

1. Every LLP shall have a registered office to which all communications and notices may be addressed and where they shall be received.

2. Any document to be sent to the LLP / a partner / a designated partner may be sent by post or any other prescribed manner at:

  • The registered office, OR
  • Any other address specifically declared by the LLP for that purpose in the prescribed form and manner.

3. An LLP may change the place of its registered office and shall file the notice of such change.

## Penalty for Default (Section 13(4))

If there is any default in complying with Section 13:

  • LLP AND every partner liable to a penalty of ₹500 for each day during which the default continues,
  • Subject to a maximum of ₹50,000.

## Quick Recall Math

₹500 per day × 100 days = ₹50,000 (cap reached). So the maximum penalty caps out after about 100 days of default.

Worked example

### Example 1

Q. ABC LLP shifted its registered office from Mumbai to Pune on 1st January 2025 but filed the notice of change with the Registrar only on 1st June 2025 (i.e., delay of 151 days). What is the penalty?

A. Penalty = ₹500 × 151 = ₹75,500, but capped at ₹50,000. Both the LLP and every partner are individually liable to this maximum amount.

  • Confusing the LLP's daily penalty (₹500/day) with company-law penalties for similar defaults.
  • Believing that the registered office cannot be changed — it can be, subject to filing a notice.
