# Miscellaneous Provisions of the LLP Act [Sections 66, 68, 68A, 69]

## 1. Business Transactions of Partner with LLP [Section 66]

A partner is free to:

  • Lend money to the LLP; and
  • Enter into other business transactions with the LLP.

And in respect of such loan / transaction, the partner has the same rights and obligations as a person who is NOT a partner.

Practical meaning: Partner-as-lender is treated like an outsider-lender for the loan — partnership status does not subordinate or elevate his claim.

## 2. Electronic Filing of Documents [Section 68]

1. Any document required to be filed, recorded or registered under the Act may be done so electronically, subject to prescribed conditions.

2. A copy/extract issued by the Registrar and certified by digital signature as a true copy is admissible in evidence with equal validity as the original document.

## 3. Registration Offices [Section 68A]

1. The Central Government may, by notification, establish such number of registration offices at such places as it thinks fit, specifying their jurisdiction.

2. CG may appoint:

  • Registrars
  • Additional Registrars
  • Joint Registrars
  • Deputy Registrars
  • Assistant Registrars

for registration of LLPs and discharge of functions under the Act.

3. Powers, duties, terms and conditions of service of Registrars — as prescribed.

4. CG may direct the Registrar to prepare a seal or seals for authentication of LLP registration documents.

## 4. Payment of Additional Fee [Section 69]

Any document / return required to be filed or registered under the Act:

  • If not filed within the time provided therein,
  • May still be filed later by paying an additional fee as prescribed,
  • In addition to the normal filing fee.

This is a 'pay-to-cure' mechanism — late filing is not blocked, but a penalty fee applies.

Worked example

### Example 1

Example 1 (S.66): Partner A lends ₹20 lakh to his LLP at 12% interest with security over equipment. The LLP defaults. A can enforce the loan and security like any third-party lender — his being a partner does not weaken his claim.

Example 2 (S.68): An LLP files Form 11 (Annual Return) electronically with the Registrar. A digitally-signed certified extract issued later by the Registrar is admitted in court evidence with the same weight as the original document.

### Example 3

Example 3 (S.69): An LLP misses the deadline to file its Statement of Account & Solvency. It can still file it later — the form will be accepted on payment of the prescribed additional fee along with the normal fee.

⚠️ Common exam mistakes

  • Thinking a partner's loan to LLP gets a subordinated position — S.66 puts the partner on the same footing as a non-partner lender.
  • Underestimating S.68's e-filing — digitally-signed copies have FULL evidentiary value as originals.
  • Confusing S.68 (e-filing) with S.68A (registration offices) — they cover different aspects.
  • Believing late filing is barred — under S.69, late filing is permitted on payment of additional fee.
  • Forgetting that S.69 additional fee is OVER AND ABOVE the normal fee, not in lieu of it.
